Over 111.31 Million Shares Tendered, Crossing 39% Threshold
Taiwan Mobile's wholly owned subsidiary Taishin Telecom is conducting a public tender offer for Systex information. As of 1:16 p.m. on November 4, cumulative tendered shares reached 111,311,1711 shares, representing 40.89% of Systex's issued shares, formally crossing the minimum acquisition threshold of 39%. According to the November 4 announcement, the minimum tendered share requirement for this offer was 106,174,796 shares. Cumulative tenders have now exceeded the minimum threshold by 5,136,915 shares, putting the acquisition well ahead of schedule and showing active market response.
Fair Trade Commission Clearance Secures Both Conditions
In addition to meeting the tendered quantity, the Fair Trade Commission has decided not to prohibit the combination, meaning both conditions for this public tender offer have been satisfied. Taiwan Mobile announced the progress on November 4, marking a key step in its expansion into enterprise information services. The public tender offer will continue until 3:30 p.m. on November 5, with subsequent procedures subject to the expiration of the offer period and completion of share settlement, to be handled in accordance with the announcement.
Combined With Existing Stake to Gain Majority Ownership
Taiwan Mobile stated that after the expiration of the tender offer period and completion of share settlement, including its existing 11.86% stake in Systex, it will hold a majority stake in Systex exceeding 50% upon completion of the transaction, and the strategic cooperation between the two sides will be further deepened. According to the announcement, absent share transfer restrictions or other circumstances legally permitting suspension of the acquisition, Taishin Telecom will complete settlement of tendered securities and payment of the acquisition consideration within 5 business days starting from the day after the expiration date of the tender offer period.
Deepening AI Cooperation and Expanding Asian Markets
Taiwan Mobile and Systex have pursued strategic cooperation since 2024, jointly launching nearly 50 enterprise solutions to date, with the number of closed cases growing more than 10-fold year-on-year. Going forward, they will deepen cooperation in three areas: cross-selling, AI and regionalization, integrating Taiwan Mobile's telecom network, cloud and AI computing power with Systex's software and system integration capabilities, expanding enterprise AI and ICT services, and extending into Japan, Singapore and East South Asia markets to strengthen their enterprise customer footprint.
